This position may be performed remotely anywhere within the United States except for the State of Alaska, North Dakota, or South Dakota. Employees located within 50 miles of a BHN office will be considered a "Hybrid" employee and are required to come into the office 2 days per week based on office schedule.

Overview:

BHN's Legal Department has an opening for a Corporate Governance Sr. Manager who will report to the Vice President, Legal.

This position is primarily focused on global corporate organization and governance and periodic support for mergers and acquisitions. The successful candidate will (i) oversee domestic corporate formation and maintenance, including managing a database of corporate information, both domestic and international; (ii) provide support for international corporate maintenance in over 20 countries; (iii) manage diligence in connection with acquisitions, mergers, and financings; and (iv) engage in a variety of corporate-related activities. The position is a balance of short-term tasks and mid-term projects, including process design and refinement. Attorney candidates will not be considered.

The position requires an independent, flexible candidate, who can anticipate needs, work under pressure and handle highly confidential information with discretion. Initiative, organizational skills, accuracy, and attention to detail are critical. The successful candidate will have the ability to work with - and sometimes drive - cross-functional teams. Responsibilities:

  • Develop and maintain global corporate governance calendar.
  • Entity management/corporate maintenance including drafting and filing corporate charter documents, merger documents and documentation for foreign qualifications and registrations in accordance with applicable law and company policies and practices.
  • Support for board and committee meetings, including drafting minutes and organizing meeting materials, for multiple entities across several jurisdictions
  • Maintain minute books
  • Maintain corporate database for multiple domestic and international corporations
  • Draft resolutions, bylaws, and other documents related to entity formation, minutes, consents, stock certificates and related transfer documents, officer certificates and related basic corporate and commercial documents;
  • Respond to data requests from attorneys, internal business and external partners
  • Support corporate transactions (e.g., mergers, acquisitions and financings) and related due diligence
  • Support credit agreement compliance, including periodic drafting of corporate agreements (e.g., guarantys, letters of credit, corporate certifications)
  • Frequent interaction with attorneys, clients and salespeople
  • Other duties as assigned.

Qualifications:

  • Comfortable interacting at all levels within the company, e.g., board and senior management, as well as finance, accounting, tax, investor relations and human resources personnel
  • Ability to quickly master new roles and responsibilities
  • Excellent oral and written communication skills
  • Experience with corporate databases and board portals preferred

Education/Experience:

  • BA + Paralegal Certificate 8+ yrs exp, or BA +5 years of relevant corporate paralegal experience of which 3 years of law firm and/or in-house experience required
  • Experience working with consumer financial laws or highly regulated entities preferred
  • Public company securities compliance an asset
  • Licensed notary a plus

Benefits:

Salary Range for all U.S. Residents (excluding Alaska, California, North Dakota, South Dakota): $101,470.00 to $137,000.00

Salary Range for California Residents Only: $129,250.00 to $174,500.00
